1. Acceptance of Terms

These Terms of Service ("Terms") form a legally binding agreement between you and Propli AI, part of A2E Group Pty Ltd (ABN 63 691 505 101) ("Propli", "we", "us" or "our") governing your access to and use of the Propli website, application, and related services (together, the "Service"). By creating an account, clicking to accept these Terms, purchasing a plan, uploading a document, or otherwise accessing or using the Service, you agree to be bound by these Terms, our Privacy Policy, and our Disclaimer, each as updated from time to time. If you do not agree, you must not use the Service.

2. Service Description

Propli is an AI-powered document analysis and issue-spotting platform for Australian property-related documents, including contracts of sale, vendor disclosure materials, section 32 / vendor statements, lease agreements, rental agreements, and related attachments where supported.

The Service may provide AI-generated outputs including, without limitation: clause summaries; issue lists and risk flags; "lawyer", "conveyancer", and "bank/lending" style review lenses; action items and risk registers; follow-up conversational responses; calculators, comparison tools, and document-related insights; dashboards, saved reviews, collaboration features, and APIs where made available.

The Service is designed to assist users to identify issues for further consideration. It does not replace qualified legal, conveyancing, financial, tax, valuation, lending, building, planning, or other professional advice.

Important: references in the Service to "property lawyer", "licensed conveyancer", "bank", "loan officer", or similar labels describe an AI review lens or analytical framework only, not a human reviewer or regulated professional service.

3. AI Outputs; No Professional Advice

IMPORTANT: PLEASE READ THIS SECTION CAREFULLY

The Service provides AI-generated outputs only. Propli is not a law firm, legal practice, conveyancing business, financial advisory service, credit provider, real estate agency, valuation service, tax practice, or other licensed professional service.

You acknowledge and agree that:

  • All outputs are generated by software and may contain errors, omissions, inaccuracies, inconsistent reasoning, or outdated information.
  • Outputs are provided for general informational and issue-spotting purposes only.
  • No output constitutes legal advice, conveyancing advice, financial advice, credit advice, taxation advice, valuation advice, or any other professional advice.
  • No solicitor-client, fiduciary, advisory, agency, or other professional relationship is created between you and Propli.
  • A low-risk, favourable, or "clear" output does not mean a document is safe, complete, lender-acceptable, enforceable, or suitable for your personal circumstances.
  • You must obtain independent professional advice before signing, exchanging, relying on, negotiating, or acting on any property-related document or output.

You use and rely on the Service entirely at your own risk, subject to your non-excludable rights under applicable law. See our Disclaimer for additional details.

4. Eligibility and Accounts

You must be at least 18 years old and have legal capacity to enter into these Terms. You may register using email/password, Google sign-in, or any other method we make available. You must provide accurate, current, and complete account information and keep it updated.

You are responsible for:

  • Maintaining the confidentiality of your login credentials.
  • All activity under your account.
  • Ensuring each user under your account is authorised to use the Service.
  • Promptly notifying us of any unauthorised access or suspected compromise.

If you create or use an account on behalf of a business, trust, agency, or other entity, you represent that you are authorised to bind that entity to these Terms.

5. Your Responsibilities

You agree that you will:

  • Use the Service lawfully and only for its intended purpose.
  • Upload only documents that you are authorised to provide to us for processing.
  • Ensure uploaded files are complete, legible, and materially final versions of the documents you want reviewed, including relevant schedules, annexures, certificates, disclosure documents, special conditions, and attachments where applicable.
  • Independently verify all facts, assumptions, figures, dates, deadlines, and legal conclusions before acting.
  • Obtain independent professional advice before making decisions relating to purchase, sale, leasing, finance, settlement, exchange, cooling-off, rescission, negotiation, due diligence, or any other property transaction step.
  • Not treat the Service as clearance to sign, exchange, settle, waive a condition, or proceed with a transaction.
  • Comply with any usage limits, technical instructions, or support directions we provide.

You acknowledge that the quality of outputs depends on the quality, completeness, and readability of the uploaded material, and that Propli does not verify the authenticity, completeness, or legal effect of any document you upload.

6. Acceptable Use

You must not, and must not permit any other person to:

  • Use the Service for any unlawful, fraudulent, deceptive, abusive, or harmful purpose.
  • Upload malicious code, corrupted files, or content intended to disrupt or test the Service without authorisation.
  • Reverse engineer, decompile, scrape, copy, benchmark, probe, or attempt to discover source code, models, prompts, security controls, or system architecture except as permitted by law.
  • Circumvent rate limits, access controls, usage caps, payment controls, or technical restrictions.
  • Use bots or automation to access the Service unless expressly permitted by us.
  • Resell, white-label, sublicense, or commercially exploit the Service or outputs except under a separate written agreement.
  • Present AI outputs to any third party as legal, conveyancing, financial, credit, or other regulated professional advice.
  • Use a consumer plan to service clients, generate external advice, or operate a commercial workflow for third parties unless expressly permitted by us in writing.
  • Remove, obscure, or alter any warnings, notices, or attributions attached to outputs.

We may suspend, limit, or block access where we reasonably suspect a breach of this clause.

7. Plans, Pricing, Billing and Refunds

7.1 Plans and Pricing

We may offer one-off reviews, bundled review packs, subscriptions, and other plans. Current pricing, billing frequency, feature limits, usage caps, and included functionality are shown on the pricing page or checkout flow at the time of purchase.

7.2 Billing

You authorise us and our payment processor to charge the applicable fees, taxes, and charges to your selected payment method.

7.3 Auto-Renewal

Subscription plans renew automatically at the end of each billing period unless cancelled before renewal. By purchasing a subscription, you authorise recurring charges at the then-current subscription price disclosed to you.

7.4 Cancellation

You may cancel a subscription at any time through your account or by contacting support. Unless we state otherwise, cancellation stops future renewals and takes effect at the end of the current paid billing period.

7.5 Changes to Price or Plans

We may change plan pricing, features, inclusions, usage caps, or structure from time to time. Material changes affecting an existing subscription will be notified in advance and will apply from the next renewal date unless otherwise stated.

7.6 Refunds

Because the Service is a digital service that may be consumed immediately after purchase, change-of-mind refunds are generally not provided once a review has been generated or a paid feature has been materially used. However, this does not exclude or limit any rights or remedies you may have under the Australian Consumer Law or other non-excludable law.

We may consider refunds, credits, or other remedies where, for example:

  • A technical failure prevented meaningful delivery of the purchased service.
  • A duplicate or accidental charge occurred.
  • The uploaded document was unsupported and no meaningful output was generated.
  • The Service was not supplied with due care and skill or otherwise failed to meet a non-excludable consumer guarantee.

7.7 Taxes

Fees are stated in AUD and include GST where applicable unless otherwise stated.

8. Professional, Team, Enterprise and API Use

Unless we expressly agree otherwise in writing:

  • Consumer plans are for your internal use only.
  • You must not provide outputs to clients or third parties as professional advice.
  • You must not embed, automate, share, resell, or operationalise the Service for external client delivery, business-process outsourcing, or regulated advisory workflows.
  • Team sharing, enterprise access, collaboration features, and API use may be subject to separate terms, usage limits, technical controls, and pricing.

9. Intellectual Property

The Service, including its software, workflows, prompts, design, branding, text, graphics, and underlying systems, is owned by or licensed to Propli and protected by intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal lawful use.

As between you and us:

  • You retain ownership of your uploaded documents and original user content.
  • We retain ownership of the Service and all related intellectual property rights.
  • You may use the outputs generated for you for your internal personal or business decision-support purposes, subject to these Terms and any plan limits.
  • If you provide suggestions, ideas, or feedback, you grant us a perpetual, irrevocable, royalty-free licence to use that feedback without restriction.

10. Uploaded Documents and User Content

You retain ownership of the documents and content you upload to the Service.

You grant us a limited, non-exclusive, worldwide licence to host, store, reproduce, extract, transform, transmit, and process your uploaded documents and related content as reasonably necessary to:

  • Provide the Service and generate outputs.
  • Maintain, secure, troubleshoot, and support the Service.
  • Investigate misuse, fraud, or incidents.
  • Comply with law and enforce these Terms.
  • Perform internal operational quality assurance using your content only to the extent described in our Privacy Policy.

You represent and warrant that:

  • You have all rights, permissions, and authority needed to upload the content and allow us to process it.
  • Your upload and our permitted use of it will not infringe any third-party rights or breach any law, obligation, confidentiality duty, or court order.
  • Where your upload includes personal information about another person, you are authorised to provide it for the relevant processing.

We do not independently verify uploaded documents for authenticity, completeness, legality, enforceability, or fitness for purpose.

11. Privacy and Data Handling

Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, hold, disclose, and store personal information and uploaded content.

By using the Service, you acknowledge that your documents and related information may be processed by our service providers, including AI, infrastructure, authentication, and payment providers, as described in the Privacy Policy.

Where required, you must ensure that you have authority to provide personal information contained in uploaded documents.

12. Consumer Rights; Warranties; Liability

Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy you may have under the Australian Consumer Law or any other law that cannot lawfully be excluded, restricted, or modified.

Subject to the above:

  • The Service is provided on an "as is" and "as available" basis.
  • We do not promise that the Service will be uninterrupted, error-free, completely secure, or suitable for every document, transaction, or jurisdictional nuance.
  • We do not warrant that any output will be accurate, complete, current, legally correct, professionally sufficient, lender-acceptable, or fit for your intended purpose.
  • To the maximum extent permitted by law, we are not liable for indirect, incidental, consequential, special, punitive, or exemplary loss, or for loss of profit, revenue, opportunity, goodwill, savings, or data.
  • To the maximum extent permitted by law, our aggregate liability arising out of or in connection with the Service will not exceed the greater of: (1) the total amount paid by you to us in the 12 months before the event giving rise to the claim; and (2) if no fee was paid, AUD $100.
  • We are not responsible for losses arising from your failure to obtain professional advice, verify outputs, upload complete documents, or review all transaction materials independently.

Where a consumer guarantee applies and liability cannot be excluded but can be limited, our liability is limited, at our option, to resupply of the relevant services or payment of the cost of having the services supplied again.

13. Indemnity

To the maximum extent permitted by law, you indemnify us against third-party claims, losses, liabilities, damages, and reasonable costs arising from:

  • Your unlawful use of the Service.
  • Your breach of Clauses 5, 6, or 10.
  • Your uploaded content infringing the rights of a third party or breaching law.

This indemnity does not apply to the extent the claim was caused by our negligence, fraud, wilful misconduct, or breach of law.

14. Suspension, Termination and Account Closure

We may suspend or limit access to the Service immediately where reasonably necessary to protect the Service, users, third parties, or our legitimate interests, including for suspected fraud, security risk, non-payment, legal compliance, or material breach of these Terms.

We may terminate your account on notice if:

  • You materially breach these Terms and do not remedy the breach within a reasonable period after notice, where capable of remedy.
  • We are required to do so by law.
  • We discontinue the Service generally.
  • Your account remains inactive for an extended period, provided we give reasonable notice where practicable.

You may close your account at any time through available account settings or by contacting support.

On suspension or termination:

  • Your licence to use the Service ends.
  • Accrued rights and obligations remain unaffected.
  • Your data will be handled in accordance with our Privacy Policy.
  • We may provide a reasonable period for export or retrieval of saved outputs where practicable, unless prohibited for security, legal, or abuse reasons.

15. Beta and Experimental Features

We may label some features as beta, pilot, preview, early access, or experimental. Those features may be incomplete, changed, suspended, or withdrawn at any time and may be subject to additional terms. Unless otherwise stated, beta features are provided without any service level commitment and may not be suitable for production or client-facing use.

16. Changes to the Service or These Terms

We may improve, modify, add, suspend, or remove features of the Service from time to time, including beta, experimental, collaboration, API, or calculator features.

We may update these Terms where reasonably necessary to reflect: changes to the Service or business model; legal or regulatory requirements; security or operational needs; product, pricing, or support changes.

Where a change is material and adverse to existing users, we will give reasonable notice before it takes effect, unless earlier change is required for legal, security, or abuse-prevention reasons.

If you do not agree to a material update, you must stop using the Service before the update takes effect.

17. Governing Law and Jurisdiction

These Terms are governed by the laws of Victoria, Australia. Subject to any rights you may have under mandatory consumer protection laws, you and we submit to the non-exclusive jurisdiction of the courts of Victoria, Australia and any courts competent to hear appeals from those courts.

18. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be severed or read down to the minimum extent necessary, and the remainder of these Terms will remain in full force and effect.
